ApexMane — Terms of Service

Welcome to ApexMane. These Terms of Service ("Terms") govern your access to and use of the ApexMane website (apexmane.com and all associated subdomains including landing.apexmane.com), products, services, programs, communications, and all content (collectively, the "Service"). By accessing or using the Service — including but not limited to visiting the website, placing an order, enrolling in the Reactivation Protocol, submitting a Clinical Intake, subscribing to marketing communications, or using any digital deliverable — you agree to be bound by these Terms.

If you do not agree to any portion of these Terms, do not use the Service, do not place an order, and do not enroll in any program.

ApexMane ("we," "us," "our," or "the Company") reserves the right to update, modify, replace, or revise these Terms at any time, at our sole discretion, without individual notice. The "Last Updated" date at the top of these Terms indicates when these Terms were most recently revised. Your continued use of the Service after any such change constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

1. Eligibility

You must be at least 18 years old — or the age of majority in your jurisdiction of residence, whichever is higher — to purchase products, enroll in programs, or otherwise use the Service. By using the Service, you represent and warrant that (a) you meet this age requirement, (b) you have the legal capacity to enter into a binding agreement, (c) you are not barred from using the Service under the laws of the United States, your country, or your state or province of residence, and (d) all information you provide is accurate, current, and complete.

The Service is intended for adult men. Products and programs are not intended for use by minors, women who are pregnant or breastfeeding, or individuals with medical conditions that may contraindicate topical hair care products.

2. Account Registration

You may be required to create an account to access certain features, place an order, or enroll in the Reactivation Protocol. You agree to (a) provide accurate, current, and complete information, (b) maintain and promptly update your information, (c) keep your login credentials secure and confidential, and (d) notify us immediately of any unauthorized access, security breach, or suspicious activity. You are responsible for all activity that occurs under your account, including unauthorized activity resulting from your failure to safeguard your credentials.

3. Products, Intended Use, and Cosmetic Classification

3.1 Cosmetic Product Classification

ApexMane sells cosmetic personal care products formulated for use by adult men. Our products — including but not limited to the ApexMane Reactivation Serum — are intended for topical application to the scalp as directed on the label. Our products are cosmetic products, not drugs, medical devices, or dietary supplements. Our products are not intended to diagnose, treat, cure, mitigate, or prevent any disease, condition, or medical issue, including but not limited to male pattern hair loss, androgenetic alopecia, alopecia areata, telogen effluvium, or any other form of hair loss.

Statements made on our website, in advertising, in marketing materials, in email communications, in SMS communications, in video content, in the Reactivation Protocol, in the Custom Reactivation Plan, and in any other communications from ApexMane have not been evaluated by the U.S. Food and Drug Administration (FDA), Health Canada, the European Medicines Agency, or any other regulatory body. Individual results vary.

3.2 Not a Substitute for Medical Care

ApexMane products, the Reactivation Protocol, the Custom Reactivation Plan, all video content, all written content, and all support communications are not a substitute for medical advice, medical diagnosis, medical treatment, or consultation with a licensed healthcare professional. Consult a licensed physician before using any ApexMane product if you have a medical condition, are taking prescription medication, have known allergies to cosmetic ingredients, are pregnant or breastfeeding, or have any concern about the suitability of a topical product for your skin and scalp.

3.3 Product Labels, Packaging, and Ingredient Lists

You agree to read all product labels, ingredient lists, usage instructions, warnings, and cautionary statements printed on product packaging or included in product materials before each use. You agree to follow all usage directions as printed on the product packaging and on our website. Discontinue use immediately if you experience irritation, redness, itching, burning, allergic reaction, rash, swelling, or any other adverse effect, and consult a physician promptly.

3.4 Product Packaging and Appearance Variation

You acknowledge and agree that product packaging, bottle design, label design, dropper design, outer box design, insert design, typography, colors, finishes, and other visual or physical characteristics of ApexMane products may vary from the images displayed on our website, on social media, in advertising, in emails, in text messages, in video content, or in any other marketing materials. Product images on the Service are for illustrative purposes only. Variations may occur due to, without limitation:

Manufacturing updates or supplier changes
Packaging redesigns, rebrands, or design iteration
Regional regulatory or labeling requirements
Fulfillment center inventory differences
Manufacturing runs with different suppliers
Updates to our ingredient list, concentrations, or formulation, provided the product continues to contain the active ingredients and concentrations represented at the time of sale
Printing, color, or finish variation between batches
Bottle size, cap, dropper, and other minor component sourcing changes

Such variations do not constitute a material change, do not entitle you to a refund, replacement, or credit unless the product is materially defective, and do not constitute breach of contract, misrepresentation, or cause for chargeback. The active ingredients (Redensyl, Capixyl, Procapil) and their represented concentrations will remain consistent unless otherwise announced.

3.5 Fulfillment

You acknowledge that ApexMane uses third-party fulfillment partners (including but not limited to international fulfillment centers, dropshipping providers, and third-party logistics providers) to manufacture, warehouse, pack, and ship orders. Shipping times, handling times, tracking granularity, and packaging format may vary based on the fulfillment partner assigned to your order and the destination country. Tracking numbers are provided where available. International customers are responsible for all customs duties, taxes, and import fees assessed by their country of residence.

4. The Reactivation Protocol and Custom Reactivation Plan

4.1 What the Reactivation Protocol Is

The "Reactivation Protocol" is an educational program offered by ApexMane to customers who purchase the Reactivation Serum. The Reactivation Protocol may include, without limitation: a welcome video, a Clinical Intake questionnaire, a Custom Reactivation Plan document, email communications, optional follow-up content, optional ongoing support communications, and other educational materials.

4.2 Educational Content — Not Medical Care

The Reactivation Protocol in its entirety is educational content developed from the clinical framework authored by Dr. Philipp Tolk, MD ("Dr. Tolk"). The Reactivation Protocol is not, and does not constitute:

Medical advice
Medical diagnosis
Medical treatment
A medical consultation
A doctor-patient relationship
Individual medical care
A telehealth service
A prescription service
A substitute for consultation with your own licensed physician

By enrolling in the Reactivation Protocol, submitting a Clinical Intake, or receiving any content from the Reactivation Protocol, you acknowledge and agree that no doctor-patient relationship is created between you and Dr. Tolk, between you and ApexMane, between you and any ApexMane employee, or between you and any third-party contractor, consultant, or representative of ApexMane.

4.3 Dr. Tolk's Role — Framework Author, Not Treating Physician

Dr. Philipp Tolk is a licensed physician who authored the clinical research framework, educational content templates, pathway categorizations, and structured clinical data that underlie the Reactivation Protocol and Custom Reactivation Plan. Dr. Tolk's role is limited to that of an educational content author, formulation reviewer, and program framework developer.

Dr. Tolk is not acting as your treating physician. Dr. Tolk does not review your individual Clinical Intake before your Custom Reactivation Plan is generated. Dr. Tolk does not diagnose your condition. Dr. Tolk does not prescribe treatment for you. Dr. Tolk does not establish a doctor-patient relationship with you by way of your enrollment, the Custom Reactivation Plan, any video in which he appears, any marketing material in which his name or likeness appears, or any email, SMS, or support communication sent under his name.

Where content is presented as being "from" Dr. Tolk, "by" Dr. Tolk, or as Dr. Tolk's guidance, recommendations, or support, such content is educational content drawn from, derived from, or based upon his authored clinical framework — not an individual medical communication between Dr. Tolk and you.

4.4 AI-Generated Content — Full Disclosure

You acknowledge and agree to all of the following:

(a) AI generation of the Custom Reactivation Plan. Your Custom Reactivation Plan is generated primarily or entirely using artificial intelligence technology, including but not limited to large language models, from physician-reviewed templates, pathway categorizations, and structured clinical data authored by Dr. Tolk. AI technology processes your Clinical Intake responses and produces a personalized-appearing document. The Custom Reactivation Plan is not individually drafted, reviewed, signed, or personally approved by Dr. Tolk or any other licensed physician prior to delivery.

(b) AI-generated avatars and synthetic media. You acknowledge that some video content, voice content, audio content, and other media delivered as part of the Reactivation Protocol or ApexMane marketing may use AI-generated avatars, AI-generated voice synthesis, AI-generated likeness, synthetic media, or similar technologies, including content that resembles or is presented as Dr. Tolk. Such content is produced using physician-authored templates and educational materials but is not an individual physician communication and does not originate in real-time from Dr. Tolk.

(c) AI-assisted communications. Email communications, SMS communications, support responses, chat responses, and other communications delivered as part of the Reactivation Protocol may be partially or fully generated using AI technology, AI-assisted drafting, template-based automation, or similar systems. Communications presented as being from "Dr. Tolk's team," "the ApexMane Clinical Team," or similar may be produced using AI technology from physician-authored templates.

(d) Marketing purpose. You acknowledge that the use of Dr. Tolk's name, likeness, credentials, title, voice, image, and persona in marketing materials, advertising, website content, and program content is a marketing and educational presentation. It is intended to communicate the clinical credibility of the underlying research framework. It is not intended to, and does not, constitute a representation that Dr. Tolk is individually treating, consulting with, advising, or communicating with you as an individual patient.

(e) No reliance. You agree that you will not rely on the Reactivation Protocol, the Custom Reactivation Plan, any AI-generated content, any physician-presented content, or any communication from ApexMane as a substitute for consultation with your own licensed healthcare provider. You agree to consult your own physician before beginning any new topical treatment regimen, especially if you have underlying medical conditions, take prescription medications, have concerns about potential interactions, or experience any adverse effects.

4.5 Intake Data and Use

By submitting a Clinical Intake, you represent that the information you provide is accurate to the best of your knowledge. You grant ApexMane a perpetual, worldwide, royalty-free license to use the information you provide to: (a) generate your Custom Reactivation Plan; (b) deliver the Reactivation Protocol and related communications to you; (c) produce anonymized and aggregated data for research, product development, program improvement, and marketing purposes; and (d) comply with any legal obligations. ApexMane will not sell your individual identifiable intake data to third parties. Anonymized and aggregated data derived from intakes may be used, disclosed, and shared at our discretion.

Handling of personal information is further governed by our Privacy Policy.

4.6 No Guaranteed Outcomes

ApexMane makes no representation, warranty, or guarantee regarding the results you may obtain from the Reactivation Serum, the Reactivation Protocol, or the Custom Reactivation Plan. Hair growth, hair density, hair retention, scalp health, and any other outcomes are individual and depend on factors outside our control, including but not limited to genetics, age, existing medical conditions, medications, consistency of use, diet, sleep, stress, and lifestyle. Testimonials, case studies, before-and-after images, review excerpts, and success stories presented on the Service are individual results and are not typical. No specific outcome is promised, implied, or guaranteed.

5. Orders, Pricing, and Pricing Display

All orders are subject to acceptance and availability and are an offer by you to purchase the products identified. We reserve the right, at our sole discretion, to refuse, cancel, limit quantities of, or not process any order — including orders that appear fraudulent, are placed in violation of these Terms, contain pricing or product errors, or originate from jurisdictions we do not serve.

Prices are listed in U.S. dollars unless otherwise stated and are subject to change at any time without notice. The price charged will be the price displayed at the time your order is placed, subject to the error-correction rights set forth in this section. We are not liable for typographical errors in pricing, descriptions, imagery, or any other content.

Strikethrough pricing, "original price" pricing, "was/now" pricing, and similar comparative price displays where applied may reference our standard non-subscription retail price, a prior list price, an MSRP, a manufacturer's suggested retail price, or the price of an equivalent non-subscription bundle, depending on context. Such reference prices are not a representation that the product was recently sold at the reference price, and ApexMane makes no such representation.

Applicable taxes, duties, and fees may be added at checkout based on your shipping destination and are your responsibility.

6. Subscriptions, Continuation, and Recurring Billing

6.1 Enrollment with Continuation

Certain ApexMane offerings — including but not limited to the "Enroll with Continuation" option, subscribe-and-save options, and automatic refill options (collectively, "Subscription Enrollment") — are recurring-billing products in which you authorize ApexMane to (a) charge your payment method on file at regular intervals, (b) ship additional product on a recurring schedule, and (c) deliver ongoing Reactivation Protocol content and support for the duration of your active Subscription Enrollment.

By selecting Subscription Enrollment at checkout, you expressly authorize ApexMane and our third-party payment processors to charge your payment method on file automatically, on the billing cycle selected or otherwise applicable to your Subscription Enrollment, until you cancel in accordance with these Terms.

6.2 Initial Protocol Duration

You agree that each Subscription Enrollment carries an initial commitment duration of ninety (90) days from the date of your initial order ("Initial Protocol Duration"). The Initial Protocol Duration corresponds to the duration of the Reactivation Protocol and reflects the minimum time period required for the Reactivation Protocol and associated serum use to be meaningfully evaluated. Cancellation requests submitted before the completion of the Initial Protocol Duration will take effect after the completion of the Initial Protocol Duration. You authorize all recurring charges scheduled to occur during the Initial Protocol Duration.

6.3 Protocol Continuity Window (72-Hour Lock)

Each recurring shipment has a "Protocol Continuity Window" beginning seventy-two (72) hours before the next scheduled recurring charge. During the Protocol Continuity Window, the upcoming recurring charge and shipment are locked for processing, and skip requests, modification requests, and cancellation requests for the upcoming charge cannot be fulfilled. Requests submitted during the Protocol Continuity Window will take effect for the subsequent billing cycle, not the imminent one. You authorize the charge and shipment that is in the Protocol Continuity Window at the time of your cancellation request.

6.4 Member Pricing

Subscription Enrollment customers may receive discounted pricing ("Member Pricing"). Member Pricing is available only while Subscription Enrollment is active and in good standing. If you cancel your Subscription Enrollment, you forfeit Member Pricing. Should you later return as a customer, you may be required to re-enroll in Subscription Enrollment to receive Member Pricing, and Member Pricing previously granted is not retroactively applied.

6.5 Cancellation Procedure

To cancel Subscription Enrollment, contact apexmane.support@apexmane.com with your order number. Cancellation requests must be submitted (a) after the completion of the Initial Protocol Duration and (b) outside the Protocol Continuity Window for the cancellation to apply to the next billing cycle. Cancellations are effective only upon our confirmation. Pausing or skipping shipments is not cancellation and does not terminate your Subscription Enrollment.

6.6 Chargebacks

You agree that you will not initiate a chargeback, payment dispute, or bank reversal with respect to any charge you have authorized under these Terms, including charges authorized as part of Subscription Enrollment, Initial Protocol Duration, or the Protocol Continuity Window. If you have a billing concern, you agree to contact apexmane.support@apexmane.com first and to allow ApexMane a reasonable opportunity to resolve the concern. Chargebacks filed in violation of these Terms may be contested, and we may provide this Agreement and your order authorization records as evidence. You are responsible for any fees, costs, or damages we incur as a result of improperly filed chargebacks.

6.7 Price Changes

ApexMane may change subscription pricing, Member Pricing, billing intervals, product contents, and shipment cadence. We will provide notice of any material change via email to the address on file at least fourteen (14) days before the change takes effect. Your continued participation in Subscription Enrollment after such notice constitutes acceptance. If you do not accept a change, your remedy is cancellation in accordance with Section 6.5.

7. 150-Day Growth Guarantee

The 150-Day Growth Guarantee is a satisfaction guarantee offered by ApexMane on qualifying orders. It is not a medical warranty, medical promise, or product performance warranty. Eligibility, procedures, and exclusions are governed by the full terms of the 150-Day Growth Guarantee, available on our website or by request to apexmane.support@apexmane.com. ApexMane reserves the right to modify, amend, suspend, or discontinue the 150-Day Growth Guarantee at any time, provided that such change does not apply to orders already placed.

8. Marketing Communications

8.1 Email and SMS

By providing your email address and/or phone number — through an order, enrollment, intake, account creation, opt-in form, or similar — you consent to receive transactional and marketing communications from ApexMane, including emails, SMS text messages, automated communications, AI-generated communications, and communications sent on behalf of Dr. Tolk or the ApexMane Clinical Team. Message and data rates may apply. You may unsubscribe from marketing email at any time via the unsubscribe link in any marketing email, and may opt out of marketing SMS by replying STOP to any marketing SMS. Transactional communications (order confirmations, shipping updates, intake links, and critical account notices) may continue even after opting out of marketing communications.

8.2 Advertising Content

ApexMane uses paid advertising platforms (including but not limited to Meta / Facebook / Instagram). Ad content may present claims, testimonials, before-and-after visuals, Dr. Tolk's name and likeness, AI-generated imagery, AI-generated video, AI-generated voice, and other marketing content. All advertising content is subject to the same disclaimers, clarifications, and limitations set forth in these Terms. Specifically: advertising references to Dr. Tolk are references to him in his capacity as clinical framework author, not as your treating physician; references to outcomes are individual and not typical; and visual claims regarding product packaging or results are illustrative.

9. Intellectual Property

All content on the Service — including text, graphics, logos, photographs, videos, audio, software, product formulations, trademarks, brand names, the "ApexMane" name, the "Reactivation Protocol" name, the "Reactivation Serum" name, the "RCP Complex" name, Dr. Tolk's likeness when used in ApexMane materials, and the design, structure, and organization of the Service — is the property of ApexMane or its licensors and is protected by copyright, trademark, trade dress, and other intellectual property laws.

You may not copy, reproduce, republish, upload, post, transmit, distribute, modify, create derivative works from, sell, resell, publicly display, publicly perform, reverse engineer, decompile, disassemble, reformulate, or commercially exploit any portion of the Service, any ApexMane product, or any content delivered through the Reactivation Protocol — including the Custom Reactivation Plan — without our prior written consent. You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and the content delivered to you (including your Custom Reactivation Plan) for personal, non-commercial purposes only. All rights not expressly granted are reserved.

10. User Conduct

You agree not to:

Use the Service for any unlawful purpose or in violation of these Terms or applicable law.
Resell, redistribute, reverse engineer, reformulate, replicate, or commercially exploit ApexMane products, the Custom Reactivation Plan, the Reactivation Protocol, or any ApexMane content, without our prior written authorization.
Represent yourself as an ApexMane employee, Dr. Tolk, a licensed physician, or an authorized representative of ApexMane when you are not.
Misrepresent your affiliation with ApexMane, Dr. Tolk, or any third party.
Upload, transmit, or distribute viruses, malware, worms, trojans, ransomware, or any other harmful code.
Interfere with or disrupt the Service, servers, or networks connected to the Service, including via denial-of-service attacks.
Use automated systems — bots, scrapers, crawlers, harvesters, or similar — to access, copy, or collect data from the Service without our prior written permission.
Submit false, misleading, fraudulent, or misleading information, including in reviews, testimonials, intake submissions, support communications, or chargeback filings.
Use the Service to harass, threaten, defame, or intimidate ApexMane, its employees, Dr. Tolk, its contractors, or other users.
Circumvent any security, access control, or rate-limiting mechanism.

We reserve the right to investigate, suspend, or terminate your access to the Service at any time, without notice and without liability, for any conduct we reasonably believe violates these Terms or is otherwise harmful to ApexMane, its users, or third parties.

11. User-Generated Content

If you submit reviews, comments, ratings, questions, photos, videos, testimonials, before-and-after images, social media content tagging ApexMane, intake free-text responses, or any other content ("User Content") to the Service or to any ApexMane-controlled social media account, you grant ApexMane and its affiliates a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, translate, publish, distribute, publicly display, publicly perform, create derivative works from, and otherwise exploit such User Content in any media — existing or hereafter developed — for any purpose, including marketing, advertising, promotion, research, and commercial use, without compensation, attribution, or notice to you.

You represent and warrant that (a) you own or have all necessary rights, licenses, consents, and permissions in the User Content; (b) the User Content does not violate any third-party right (including privacy, publicity, copyright, trademark, or contract); (c) the User Content is accurate and not misleading; and (d) your submission of User Content does not violate any law. You waive any moral rights in User Content to the fullest extent permitted by law.

12. Third-Party Links and Services

The Service may contain links to, or embed content from, third-party websites, applications, platforms, or services. ApexMane does not own, control, endorse, or assume responsibility for the content, privacy practices, or terms of any third party. You access third-party websites and services at your own risk.

13. Disclaimers

THE SERVICE, ALL PRODUCTS, THE REACTIVATION PROTOCOL, THE CUSTOM REACTIVATION PLAN, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, COURSE OF PERFORMANCE, OR ACCURACY OF DATA.

APEXMANE DOES NOT WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR ANY SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE RESULTS OBTAINED FROM USE OF THE SERVICE OR ANY PRODUCT WILL BE ACCURATE OR RELIABLE; OR (E) THE QUALITY OF ANY PRODUCT, SERVICE, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

APEXMANE MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING HAIR REGROWTH, HAIR RETENTION, HAIR DENSITY, HAIR THICKNESS, SCALP HEALTH, OR ANY OTHER OUTCOME. INDIVIDUAL RESULTS VARY AND DEPEND ON FACTORS OUTSIDE OUR CONTROL.

NO ORAL OR WRITTEN ADVICE OR INFORMATION OBTAINED FROM APEXMANE, ITS EMPLOYEES, DR. TOLK, ITS CONTRACTORS, OR THE REACTIVATION PROTOCOL CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APEXMANE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SHAREHOLDERS, CONTRACTORS, AFFILIATES, DR. TOLK (IN HIS CAPACITY AS CLINICAL FRAMEWORK AUTHOR), FULFILLMENT PARTNERS, OR PAYMENT PROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, REPUTATION, MEDICAL EXPENSES, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, ANY PRODUCT, THE REACTIVATION PROTOCOL, THE CUSTOM REACTIVATION PLAN, OR ANY AI-GENERATED CONTENT, REGARDLESS OF THE LEGAL THEORY — WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — AND EVEN IF APEXMANE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE, ANY PRODUCT, THE REACTIVATION PROTOCOL, THE CUSTOM REACTIVATION PLAN, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO APEXMANE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of these limitations may not apply to you in full. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless ApexMane and its officers, directors, employees, agents, contractors, affiliates, Dr. Tolk, fulfillment partners, and payment processors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service, any product, or the Reactivation Protocol; (b) your violation of these Terms; (c) your violation of any third-party right, including privacy, publicity, or intellectual property rights; (d) any User Content you submit; (e) any misuse of products, program content, or the Custom Reactivation Plan; (f) any chargeback filed in violation of these Terms; or (g) any reliance by you on the Reactivation Protocol, the Custom Reactivation Plan, AI-generated content, or Dr. Tolk's name or likeness in ApexMane materials.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

16.2 Binding Individual Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, any product, the Reactivation Protocol, or the Custom Reactivation Plan shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Delaware, unless you and ApexMane agree otherwise, or conducted by remote hearing as the arbitrator determines.

16.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST APEXMANE.

16.4 Opt-Out

You may opt out of the arbitration agreement in Section 16.2 and the class action waiver in Section 16.3 by sending written notice of your decision to opt out to apexmane.support@apexmane.com within thirty (30) days of first agreeing to these Terms. Your notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out.

16.5 Court Fallback

If arbitration is found unenforceable as to any claim or party, exclusive jurisdiction and venue for any legal proceedings shall lie in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.

16.6 Time Limitation

Any claim arising out of or related to these Terms, the Service, any product, or the Reactivation Protocol must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.

17. Force Majeure

ApexMane shall not be liable for any failure or delay in performance due to causes outside our reasonable control, including without limitation acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government action, regulatory action, customs delays, shipping carrier delays, supply chain disruption, manufacturing disruption, power outages, internet outages, denial-of-service attacks, third-party platform failures (including payment processors, fulfillment partners, and marketing platforms), or labor disputes.

18. Severability; Waiver; Assignment

If any provision of these Terms is held to be invalid, illegal, or unenforceable in whole or in part, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

No failure or delay by ApexMane in exercising any right under these Terms constitutes a waiver of that right.

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. ApexMane may assign or transfer these Terms, in whole or in part, without notice and without your consent.

19. Entire Agreement

These Terms, together with our Privacy Policy, 150-Day Growth Guarantee terms, Subscription Enrollment terms, and any other policies referenced on the Service, constitute the entire agreement between you and ApexMane regarding the Service, any product, and the Reactivation Protocol, and supersede all prior or contemporaneous agreements, proposals, and understandings, whether written or oral.
